Please read these Terms of Service (these “Terms” or this “Agreement”) carefully. By accessing or using hiltonheadsoap.com or any related website, application, feature, or service that links to these Terms (collectively, the “Site”), you agree to be bound by this Agreement.

This Agreement is between you (“you” or “User”) and 1972 Ltd. Co., doing business as Hilton Head Soap Co. (“Hilton Head Soap Co.,” “we,” “us,” or “our”).

These Terms govern your access to and use of the Site, including any page, feature, blog, shopping functionality, account feature, content area, promotion, program, or service that links to these Terms.

Different or additional terms may apply to certain products, promotions, programs, subscriptions, communications, or services. If there is a conflict between these Terms and specific terms applicable to a particular service or promotion, the specific terms will control with respect to that service or promotion.

If you do not agree to these Terms, do not access or use the Site.

IMPORTANT NOTICE REGARDING ARBITRATION: THESE TERMS CONTAIN AN AGREEMENT TO ARBITRATE CERTAIN DISPUTES ON AN INDIVIDUAL BASIS AND INCLUDE A WAIVER OF CLASS OR REPRESENTATIVE PROCEEDINGS AND, TO THE EXTENT PERMITTED BY LAW, A WAIVER OF THE RIGHT TO A JURY TRIAL. PLEASE REVIEW SECTION 22 CAREFULLY.

If you access or use the Site on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms, and references to “you” include that entity.

1. Purpose of the Site

The Site provides information about Hilton Head Soap Co., our products, services, programs, promotions, and brand and allows users to shop for products and interact with certain Site features.

The Site and its content, including text, graphics, photographs, videos, product descriptions, layouts, designs, and other materials, are provided for general informational, promotional, and shopping purposes.

We may modify, suspend, restrict, or discontinue any portion of the Site at any time.

2. Changes to These Terms

We may update these Terms from time to time for legal, regulatory, operational, security, or business reasons.

When we update these Terms, we will revise the “Last Updated” date above and take any other steps required by applicable law.

Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

Material changes will apply prospectively unless otherwise permitted by applicable law.

3. Eligibility

You must be legally capable of entering into a binding agreement to use the Site.

If you are using the Site on behalf of another person, company, or organization, you represent and warrant that you are authorized to do so.

4. License to Use the Site

Subject to your compliance with these Terms, we grant you a limited, nonexclusive, nontransferable, nonsublicensable, revocable license to access and use the Site for your personal, lawful, noncommercial use or for the internal business needs of an entity you are authorized to represent.

This license does not transfer ownership of any portion of the Site or its Content.

All rights not expressly granted are reserved by Hilton Head Soap Co. and its licensors.

You may not reproduce, duplicate, copy, sell, resell, distribute, license, or commercially exploit any portion of the Site or Content except as expressly authorized by us in writing or permitted by applicable law.

5. Intellectual Property

The Site and its content, including text, graphics, photographs, artwork, designs, logos, icons, images, videos, product names, trade dress, trademarks, service marks, and other materials (collectively, “Content”), are owned by or licensed to Hilton Head Soap Co. and are protected by applicable intellectual-property laws.

Except as expressly permitted by these Terms or applicable law, you may not:

• Copy, reproduce, modify, republish, upload, post, transmit, or distribute Content
• Sell, license, sublicense, or commercially exploit Content
• Create derivative works based on the Site or Content
• Reverse engineer, decompile, or attempt to derive source code from Site technology except where such restriction is prohibited by law
• Remove, alter, or obscure copyright, trademark, or other proprietary notices
• Use our trademarks, logos, trade dress, product photography, or other brand assets without our prior written permission

Third-party trademarks and content appearing on the Site remain the property of their respective owners.

6. Product Information

We attempt to display our products and product information as accurately as reasonably possible.

However, we do not guarantee that product descriptions, photographs, colors, ingredients, dimensions, weights, packaging, availability, or other information will always be complete, current, or error-free.

Colors and appearance may vary depending on your device, display settings, lighting, manufacturing variations, packaging changes, and other factors.

We reserve the right to modify product formulations, packaging, descriptions, specifications, availability, and pricing at any time, subject to applicable law.

7. Prices, Orders, and Payment

Prices displayed on the Site are stated in U.S. dollars unless otherwise indicated.

Applicable taxes, shipping charges, and other fees may be added during checkout.

Submitting an order does not necessarily mean that we have accepted the order. We reserve the right, subject to applicable law, to:

• Accept or reject an order
• Limit quantities
• Cancel an order
• Correct pricing, inventory, or product-description errors
• Decline transactions that appear fraudulent, unauthorized, abusive, or otherwise improper

If we cancel an order after payment has been processed, we will issue an appropriate refund or reversal.

You represent that the payment information you provide is accurate and that you are authorized to use the applicable payment method.

8. Shipping, Returns, and Refunds

Shipping, returns, refunds, exchanges, and related transactions are subject to the policies posted on the Site at the time of the applicable transaction.

Those policies are incorporated into these Terms by reference.

Shipping estimates are estimates only and are not guarantees unless expressly stated otherwise.

We are not responsible for delays caused by carriers, weather, natural disasters, governmental actions, incorrect shipping information supplied by the customer, or other circumstances outside our reasonable control.

Nothing in this Section limits rights that cannot lawfully be waived.

9. Accounts

Certain Site features may allow or require you to create an account.

You agree to provide accurate and current information and to keep your information updated.

You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.

You must notify us promptly if you believe your account has been accessed without authorization or otherwise compromised.

We may suspend, restrict, or terminate accounts where reasonably necessary for security, fraud prevention, legal compliance, violation of these Terms, or protection of the Site or other users.

10. User Content

The Site may allow you to submit, upload, publish, transmit, or otherwise provide reviews, photographs, text, comments, videos, or other materials (“User Content”).

As between you and Hilton Head Soap Co., you retain ownership of your User Content, subject to the license granted below.

By submitting User Content, you grant Hilton Head Soap Co. a worldwide, perpetual, irrevocable, nonexclusive, royalty-free, transferable, and sublicensable license to use, reproduce, host, store, publish, display, distribute, modify, adapt, translate, create derivative works from, and otherwise use your User Content for lawful business purposes, including marketing, advertising, social media, product pages, retail materials, and other brand communications, in any media now known or later developed.

You represent and warrant that:

• You own or control the rights necessary to provide the User Content
• Your User Content does not infringe intellectual-property, privacy, publicity, contractual, or other rights of any person
• You have obtained any permissions or releases reasonably necessary for persons appearing in your User Content
• Your User Content does not violate applicable law

We may remove or decline to display User Content in our discretion, subject to applicable law.

11. Ambassador, Affiliate, and Referral Programs

Hilton Head Soap Co. may offer ambassador, affiliate, referral, influencer, or similar programs, including through third-party platforms.

Participants may receive commissions, discounts, gifted products, promotional products, or other consideration (“Compensation”) in connection with creating or sharing content about Hilton Head Soap Co.

By participating in such a program and submitting or sharing content relating to Hilton Head Soap Co. (“Ambassador Content”), you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, publish, display, modify, adapt, and create derivative works from the Ambassador Content for lawful business, advertising, promotional, retail, and marketing purposes.

Participants are responsible for complying with applicable advertising, endorsement, testimonial, disclosure, and consumer-protection laws and regulations, including applicable Federal Trade Commission requirements.

Required disclosures must be clear and conspicuous.

Hilton Head Soap Co. may modify, suspend, or terminate an ambassador, affiliate, or referral program or individual participation at any time, subject to any applicable written program terms.

Participation does not guarantee continued engagement, compensation, or future opportunities.

12. Privacy

Our collection, use, disclosure, and processing of personal information are described in our Privacy Policy, available at:

The Privacy Policy is incorporated into these Terms by reference.

Where applicable, you may manage certain privacy preferences through privacy controls available on the Site, including the Your Privacy Choices link.

13. Prohibited Uses

You agree not to misuse the Site.

Except where expressly authorized by us in writing or permitted by applicable law, you may not:

• Use the Site for unlawful, fraudulent, deceptive, or abusive purposes
• Attempt to gain unauthorized access to accounts, systems, networks, servers, databases, administrative areas, or restricted portions of the Site
• Interfere with the Site’s security, availability, operation, integrity, or performance
• Introduce malware, viruses, malicious code, automated attacks, or other harmful technology
• Circumvent access controls, technological measures, rate limits, security mechanisms, privacy controls, or other Site protections
• Scrape, crawl, spider, harvest, index, probe, scan, monitor, test, or use bots, scripts, automated browsers, automated agents, or other automated means to access, extract information from, interact with, or analyze the Site without our prior written permission
• Use automated systems to make requests to the Site at a volume or frequency greater than a person could reasonably produce using a conventional web browser
• Extract, collect, copy, compile, or create databases from Site data or Content without authorization
• Attempt to identify vulnerabilities or test the security, privacy, tracking, communications, or technical operation of the Site without authorization, except to the extent such activity is expressly protected by applicable law
• Use Site Content, data, or functionality to train, develop, improve, or operate automated systems, machine-learning systems, artificial-intelligence systems, or similar technologies without our permission
• Use the Site or Content to compete with Hilton Head Soap Co. or gather competitive intelligence
• Impersonate another person or misrepresent your identity or affiliation
• Violate the intellectual-property, privacy, publicity, contractual, or other rights of another person
• Use the Site in a manner that violates applicable law

Nothing in this Section is intended to prohibit activity that cannot lawfully be restricted.

14. Automated Access Does Not Constitute Authorization

The public availability of the Site does not constitute authorization for unrestricted automated access, scraping, crawling, monitoring, security testing, privacy testing, extraction, or other automated interaction.

Any permission to access the Site through ordinary consumer-facing functionality is limited to use consistent with these Terms and does not independently grant permission to use automated tools or techniques prohibited by Section 13.

This Section does not limit rights or activities that cannot lawfully be restricted.

15. Third-Party Services, Websites, and Platforms

The Site may contain or integrate with third-party websites, applications, payment services, social networks, advertising platforms, shipping providers, ecommerce tools, or other resources.

We do not control and are not responsible for third-party services, content, availability, security, privacy practices, or terms.

Your use of third-party services may be subject to separate agreements between you and those third parties.

The inclusion of a third-party link, integration, or service does not necessarily constitute endorsement.

16. Social Media and Third-Party Platforms

Hilton Head Soap Co. may maintain accounts, shops, catalogs, advertisements, or other features through third-party social media and ecommerce platforms.

Your use of those platforms is governed by their respective terms, policies, and community standards.

We are not responsible for third-party platform outages, account decisions, data practices, content moderation, or other platform actions.

17. Monitoring Public Ambassador and Brand Content

We may review publicly available content that references, tags, mentions, or promotes Hilton Head Soap Co., including ambassador, affiliate, influencer, and referral content.

We may request edits, disclosures, corrections, or removal where content is inaccurate, misleading, inconsistent with applicable program terms, violates applicable law, or fails to include required advertising disclosures.

18. SMS, Email, and Mobile Communications

If you opt in, we may send you promotional or informational communications by email or SMS, including product announcements, promotions, back-in-stock notices, and abandoned-cart reminders.

Consent to receive marketing SMS messages is not a condition of purchase.

Message frequency may vary.

Message and data rates may apply.

You may opt out of promotional email messages using the unsubscribe link provided in the applicable email.

You may opt out of SMS marketing messages by replying STOP to a message.

For SMS assistance, you may reply HELP.

Opting out of promotional communications does not prevent us from sending transactional or service-related communications regarding orders, accounts, security, or other transactions where permitted by law.

We may use third-party service providers to deliver communications.

We are not responsible for delayed or undelivered communications caused by carriers, networks, devices, technical failures, or other circumstances outside our reasonable control.

19. Electronic Communications

By using the Site, creating an account, making a purchase, or communicating with us electronically, you agree that communications provided electronically may satisfy legal requirements that communications be in writing to the extent permitted by law.

We may provide notices by posting them on the Site, sending them to an email address associated with your account or transaction, or using another legally permitted method.

You are responsible for keeping contact information associated with your account current.

20. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

HILTON HEAD SOAP CO. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE
• DEFECTS WILL ALWAYS BE CORRECTED
• INFORMATION AVAILABLE THROUGH THE SITE WILL ALWAYS BE COMPLETE, ACCURATE, OR CURRENT
• THE SITE WILL BE FREE FROM HARMFUL COMPONENTS

YOUR USE OF THE SITE IS AT YOUR OWN RISK.

NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HILTON HEAD SOAP CO. AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO:

• YOUR USE OF OR INABILITY TO USE THE SITE
• THE CONTENT
• THESE TERMS
• PRODUCTS OR SERVICES OBTAINED THROUGH THE SITE
• THIRD-PARTY SERVICES OR CONTENT

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, THESE TERMS, OR A PRODUCT OR SERVICE WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU PAID TO HILTON HEAD SOAP CO. FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not permit certain exclusions or limitations of liability, so some of these limitations may not apply to you.

Nothing in these Terms limits liability that cannot lawfully be limited.

22. Agreement to Arbitrate

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Except for disputes that qualify for small claims court and except where arbitration is prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to:

• These Terms
• The Site
• Your access to or use of the Site
• A transaction with Hilton Head Soap Co.
• Products or services offered or purchased through the Site
• Communications between you and Hilton Head Soap Co.

will be resolved through final and binding individual arbitration rather than in court.

The arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA rules in effect when the arbitration is initiated.

The arbitration will be conducted in English.

Unless otherwise required by applicable law or agreed by the parties, the arbitration will take place in Hilton Head Island, South Carolina, provided that a consumer may participate remotely where permitted by applicable rules or law.

The arbitrator may award any remedy that would otherwise be available in an individual court proceeding, subject to these Terms and applicable law.

Small Claims Court

Either party may bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies and remains in that court.

Individual Proceedings Only

To the fullest extent permitted by law, disputes must be brought on an individual basis only.

Neither you nor Hilton Head Soap Co. may participate in a class action, class arbitration, collective action, consolidated action, private attorney general action, or other representative proceeding against the other, except where such waiver is prohibited by law.

The arbitrator may award relief only to the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim.

Jury Trial Waiver

To the extent a dispute is subject to arbitration, you and Hilton Head Soap Co. knowingly waive the right to have that dispute decided by a judge or jury in court.

Injunctive Relief

Either party may seek temporary or preliminary injunctive relief from a court of competent jurisdiction where reasonably necessary to prevent immediate and irreparable harm while arbitration is pending or where such court relief is otherwise permitted by law.

Enforceability

Questions regarding the validity, enforceability, interpretation, scope, or applicability of this arbitration agreement will be determined in accordance with applicable law and the applicable AAA rules.

If any portion of this arbitration provision is determined to be unenforceable, the remaining portions will remain in effect to the fullest extent permitted by law.

23. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Hilton Head Soap Co. and its members, managers, officers, employees, and agents from claims, liabilities, damages, losses, and reasonable expenses arising directly from:

• Your material violation of these Terms
• Your unlawful use of the Site
• Your User Content
• Your infringement or misappropriation of another person’s rights

This provision does not apply to the extent a claim results from our own unlawful conduct or where indemnification is prohibited by applicable law.

24. Suspension and Termination

These Terms remain in effect while you use the Site.

We may suspend, restrict, or terminate your access to the Site where reasonably necessary because of:

• Violation of these Terms
• Fraud or suspected fraud
• Security concerns
• Abuse or misuse of the Site
• Legal or regulatory requirements
• Operational or technical reasons
• Discontinuation of a Site feature or service

You may stop using the Site at any time.

Provisions that by their nature should survive termination will survive, including intellectual-property provisions, User Content licenses, disclaimers, limitations of liability, indemnification, dispute-resolution provisions, and governing-law provisions.

25. Force Majeure

To the extent permitted by law, Hilton Head Soap Co. will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, fire, flood, war, terrorism, civil unrest, epidemics, pandemics, governmental actions, labor disruptions, internet or telecommunications failures, utility failures, transportation interruptions, carrier delays, supply-chain disruptions, or failures of third-party service providers.

26. Governing Law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law principles, except to the extent federal law applies or applicable law requires otherwise.

To the extent a dispute is permitted to proceed in court rather than arbitration, the parties agree that the dispute will be brought in a court of competent jurisdiction in South Carolina, subject to any rights or venue protections that cannot lawfully be waived.

27. Severability

If any provision of these Terms is held invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to the minimum extent necessary to make it enforceable.

If modification is not possible, the provision will be severed, and the remaining provisions will remain in effect.

28. No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision later.

A waiver is effective only if made in writing by an authorized representative of Hilton Head Soap Co.

29. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, corporate reorganization, or other business transaction, subject to applicable law.

30. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or terms expressly incorporated by reference, constitute the entire agreement between you and Hilton Head Soap Co. regarding the Site and supersede prior or contemporaneous communications relating to the same subject matter.
